1. Agreement to Terms
By accessing or using the Wabot platform and services (“Service”), operated by Team Fames Sdn Bhd (“Company,” “we,” “our,” or “us”), you (“User,” “you,” or “your”) agree to be legally bound by these Terms of Service and Disclaimer (“Terms”).
Please read these Terms carefully before using the Service. If you do not agree to all of these Terms, you must not access or use the Service.
These Terms apply to all visitors, registered users, and any other individuals or entities who access or use the Service in any manner. These Terms are supplemented by our Privacy Policy, which is incorporated herein by reference.
2. Description of Service
Wabot is a WhatsApp automation and AI-powered messaging platform (“Service”) that provides:
- WhatsApp automation, chatbot, bulk messaging, and live chat tools
- AI-powered chatbot and knowledge base features
- An embeddable AI chat widget for websites
- Telegram integration for messaging
- Contact management and CRM tools
- Message scheduling, autoresponders, and campaign management
- Integration with third-party services (such as spreadsheet tools, AI providers, and messaging platforms)
The Service is provided on a subscription basis. Features available to you depend on your active subscription plan.
Important: Wabot is a tool and platform provider only. We do not send messages on our own behalf. All messages sent through the Service are sent by you, the User, to your own contacts. You are solely responsible for the content, targeting, consent, and legality of all messages sent using Wabot.
3. Eligibility
To use the Service, you must:
- Be at least 18 years of age (or the age of majority in your jurisdiction)
- Have the legal capacity to enter into a binding contract
- Be a business or individual using the Service for legitimate business purposes
- Not be prohibited from using the Service under any applicable law
By registering an account, you represent and warrant that you meet all eligibility requirements.
4. Account Registration and Security
4.1 Account Creation
To access the Service, you must register for an account by providing accurate, current, and complete information including your full name, username, email address, phone number, and password.
4.2 Account Accuracy
You agree to keep your account information accurate and up to date. Providing false or misleading information is grounds for immediate account termination.
4.3 Account Security
You are solely responsible for:
- Maintaining the confidentiality of your login credentials
- All activity that occurs under your account
- Immediately notifying us of any unauthorized access at [email protected]
We are not liable for any loss or damage arising from your failure to protect your account credentials.
4.4 One Account Per User
Each registered user may maintain one primary account unless expressly permitted otherwise by us. You may not share your account credentials with third parties or allow others to use your account.
5. Acceptable Use Policy
5.1 Permitted Use
You may use the Service only for lawful, legitimate business communication purposes, in compliance with these Terms and all applicable laws and regulations.
5.2 Prohibited Uses
You must NOT use Wabot to:
Spam and Unsolicited Messaging
- Send unsolicited bulk messages (“spam”) to any person or group
- Message contacts who have not given you their explicit consent to be contacted via WhatsApp or other channels
- Send messages to purchased, scraped, rented, or third-party contact lists
- Send the same or substantially similar messages to large numbers of recipients in a manner that constitutes mass unsolicited messaging
- Repeatedly message users who have asked not to be contacted
Illegal and Harmful Content
- Send, distribute, or promote any content that is illegal, fraudulent, defamatory, harassing, threatening, abusive, obscene, or otherwise objectionable
- Engage in phishing, scams, fraud, or any deceptive practices
- Impersonate any person, business, or entity
- Violate any person’s intellectual property, privacy, or other rights
- Send content that promotes violence, hate speech, discrimination, or harm
Platform Abuse
- Use the Service to circumvent or attempt to circumvent WhatsApp’s or any third party’s terms of service, rate limits, or anti-spam systems
- Use automated scripts, bots, or other methods to artificially inflate messaging volume in ways that violate platform policies
- Attempt to reverse engineer, hack, or disrupt the Service or any connected platforms
- Use the Service in any way that could damage, disable, overburden, or impair our infrastructure
Regulatory Violations
- Violate any applicable anti-spam laws including, but not limited to: CAN-SPAM Act (US), CASL (Canada), GDPR (EU/UK), PDPA (Malaysia), or any other applicable communications regulations
- Send marketing messages without the legally required opt-out mechanism
- Fail to honor opt-out or unsubscribe requests from recipients
5.3 Messaging Consent Requirement
You represent and warrant that:
- You have obtained the necessary prior, express, written consent from every contact before sending them marketing or promotional messages through Wabot
- Your contact lists consist only of individuals who have willingly provided their phone numbers to you and agreed to receive communications from you
- You will promptly honor all opt-out, unsubscribe, or stop requests from any contact
- You comply with all consent requirements under WhatsApp’s Business Policy and applicable laws
5.4 Content Standards
All messages, files, and content sent through Wabot must comply with:
- WhatsApp Business Policy: https://www.whatsapp.com/legal/business-policy/
- Meta’s Community Standards: https://transparency.meta.com/policies/community-standards/
- All applicable local laws and regulations in both your jurisdiction and the recipient’s jurisdiction
5.5 Consequences of Violation
Violation of this Acceptable Use Policy may result in:
- Immediate suspension or termination of your account without notice and without refund
- Reporting of your activities to WhatsApp/Meta, law enforcement, or other relevant authorities
- Legal action for damages caused by your misuse of the Service
6. WhatsApp-Specific Terms and Disclaimer
This section is critically important. Please read it carefully.
6.1 Independent Third-Party Platform
WhatsApp is a messaging service owned and operated by Meta Platforms, Inc., an independent company with no affiliation to Wabot. Your use of WhatsApp through our platform is subject to Meta’s Terms of Service and WhatsApp’s Business Policy, in addition to these Terms.
6.2 WhatsApp Account Ban Risk — Disclaimer
WARNING: USE OF WHATSAPP AUTOMATION CARRIES AN INHERENT RISK OF ACCOUNT RESTRICTION OR BAN.
You expressly acknowledge and agree that:
- WhatsApp/Meta may restrict, suspend, limit, or permanently ban any WhatsApp account or phone number at their sole discretion, at any time, and for any reason — including for use of automation tools, bulk messaging, or activities Meta deems to violate their policies
- Wabot has no control over WhatsApp’s enforcement decisions. We cannot prevent, predict, appeal, or reverse any ban or restriction imposed by WhatsApp/Meta on your account
- A WhatsApp account ban is an action taken by Meta, not by Wabot
- We are not responsible or liable for any WhatsApp account bans, temporary suspensions, phone number blocks, reduced messaging limits, loss of account access, or any other restriction imposed by WhatsApp/Meta — regardless of whether such restriction was caused directly or indirectly by your use of the Service
- You will not be entitled to any refund, credit, or compensation from Wabot as a result of a WhatsApp account ban or restriction
6.3 Minimizing Ban Risk — Your Responsibility
To reduce (but not eliminate) the risk of account restrictions, you should:
- Send messages only to contacts who have explicitly opted in to receive your communications
- Avoid sudden high-volume message spikes — gradually increase messaging volume over time
- Maintain a high message quality rating with recipients
- Promptly honor all block and opt-out requests
- Review and comply with WhatsApp’s Business Policy regularly
- Use only approved WhatsApp message templates where required by WhatsApp
We make no guarantee that following best practices will prevent account restrictions.
6.4 Unofficial WhatsApp Connection
Some features of Wabot may use connection methods that are not part of the official WhatsApp Business API (“Unofficial Connection”). You acknowledge that:
- Unofficial WhatsApp connections are not endorsed or supported by Meta/WhatsApp
- Use of unofficial connections carries a higher risk of account bans or restrictions
- WhatsApp may change its platform at any time in ways that disable unofficial connections
- If you want lower ban risk, you should use only WhatsApp’s Official Cloud API connection (where available in your plan)
6.5 Official WhatsApp Cloud API
Where you use the Official WhatsApp Business Cloud API through Wabot:
- You remain responsible for compliance with Meta’s API terms and usage policies
- Your WhatsApp Business account is subject to Meta’s messaging limits and quality ratings
- Meta may modify, restrict, or discontinue API access at any time
7. Subscription, Payments, and Refund Policy
7.1 Subscription Plans
Wabot offers subscription plans on a monthly or annual basis, as displayed on our pricing page. Plan features and limits vary by tier.
7.2 Trial Period
Where a free trial is offered, it is provided at our discretion and may be modified or discontinued at any time. Only one free trial per user is permitted.
7.3 Payment
By subscribing to a paid plan, you authorize us to charge the applicable fees to your designated payment method. All fees are listed in the currency displayed at checkout and are inclusive or exclusive of applicable taxes as stated.
7.4 Renewals
Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date. It is your responsibility to cancel your subscription if you do not wish to be charged for the next period.
7.5 Refund Policy
All fees paid are non-refundable, except where required by applicable law. This includes, but is not limited to:
- Partial-month usage
- Unused subscription time remaining after cancellation
- Subscription periods during which your WhatsApp account was banned or restricted
- Service disruptions caused by third-party providers (such as messaging platforms, AI service providers, cloud storage providers, payment processors, or hosting providers)
- Account termination due to violation of these Terms
No refunds will be issued for WhatsApp account bans or any third-party platform enforcement actions.
7.6 Price Changes
We reserve the right to change subscription pricing at any time. Price changes will be communicated to you at least 14 days in advance and will take effect at your next renewal cycle.
8. Service Availability and Uptime Disclaimer
8.1 No Uptime Guarantee
We do not guarantee continuous, uninterrupted, or error-free access to the Service. The Service is provided on a best-effort basis. We expressly disclaim any service level agreement (SLA) or uptime commitment unless separately agreed to in writing.
8.2 Causes of Downtime
You acknowledge that service interruptions may occur due to causes beyond our reasonable control, including but not limited to:
- WhatsApp / Meta platform outages, API changes, policy changes, or technical issues
- Third-party service failures: AI service providers, messaging platforms, cloud storage providers, authentication providers, payment processors, or any other integrated service
- Hosting and infrastructure failures: server hardware failures, data center outages, internet provider disruptions, or cyberattacks
- Scheduled maintenance: planned maintenance windows (we will endeavor to provide advance notice)
- Force majeure events: acts of God, natural disasters, pandemics, government actions, or other events outside our control
- WhatsApp platform or API changes that break platform functionality
8.3 No Liability for Downtime
We are not liable for any loss, damage, or cost arising from service downtime, unavailability, or degraded performance, including but not limited to:
- Lost revenue or business opportunities
- Missed marketing campaigns or scheduled messages
- Failed message deliveries
- Data loss during outages
- Costs incurred from switching to alternative services
8.4 Maintenance
We reserve the right to perform scheduled or emergency maintenance at any time. We will use reasonable efforts to notify users of planned maintenance in advance, but reserve the right to perform emergency maintenance without prior notice.
9. Disclaimer of Warranties
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED.
To the maximum extent permitted by applicable law, we expressly disclaim all warranties, including but not limited to:
- Merchantability — that the Service is fit for a general purpose
- Fitness for a particular purpose — that the Service will meet your specific requirements
- Non-infringement — that the Service will not infringe any third-party rights
- Accuracy — that any information or content provided through the Service is accurate, complete, or reliable
- Uptime — that the Service will be available at any particular time or for any particular duration
- Security — that the Service will be free from vulnerabilities, breaches, or unauthorized access
- WhatsApp delivery — that any message sent through the Service will be successfully delivered, opened, or acted upon by the recipient
We do not warrant that:
- The Service will operate without interruption or errors
- Defects will be corrected
- The Service or the servers that make it available are free of viruses or other harmful components
- WhatsApp or any other third-party platform will remain operational or maintain its current functionality
10. Limitation of Liability
10.1 Exclusion of Consequential Damages
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL TEAM FAMES SDN BHD, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY:
- Indirect, incidental, special, consequential, or punitive damages
- Loss of profits, revenue, data, business, or goodwill
- Business interruption or loss of business opportunity
- WhatsApp account bans, suspensions, or restrictions
- Third-party platform failures (including messaging platforms, AI service providers, cloud storage providers, payment processors, hosting providers, and similar vendors)
- Losses arising from unauthorized access to your account or data
- Any damages arising from reliance on the Service
EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
10.2 Liability Cap
To the extent liability cannot be fully excluded under applicable law, our total cumulative liability to you for all claims arising from or related to these Terms or the Service shall not exceed the total amount you paid to us in the three (3) months immediately preceding the event giving rise to the claim.
10.3 Jurisdictional Limitations
Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In such jurisdictions, our liability is limited to the maximum extent permitted by law.
11. Indemnification
You agree to indemnify, defend, and hold harmless Team Fames Sdn Bhd, its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with:
- Your use or misuse of the Service
- Your violation of these Terms
- Your violation of any applicable law, regulation, or third-party right (including WhatsApp’s Business Policy)
- Any messages you send through the Service, including any spam complaints or regulatory actions
- Any content you upload, transmit, or process through the Service
- Any claims by your contacts, customers, or recipients arising from messages you sent using the Service
- Your violation of any anti-spam law or messaging consent requirements
- Any WhatsApp account ban or enforcement action resulting from your use of the Service
12. Termination
12.1 Termination by You
You may terminate your account at any time by canceling your subscription through your account dashboard or by contacting us at [email protected]. Termination takes effect at the end of your current billing period. No refunds will be issued for unused time.
12.2 Termination by Us
We reserve the right to suspend or terminate your account immediately and without notice if:
- You violate any provision of these Terms, particularly the Acceptable Use Policy
- We receive spam complaints or reports related to your account
- Your account is used for illegal activity or fraud
- WhatsApp or Meta notifies us that your account has been suspended or banned for policy violations
- You provide false account information
- Continued provision of the Service to you poses a legal, reputational, or technical risk to us or other users
Termination for cause does not entitle you to any refund.
12.3 Effect of Termination
Upon termination:
- Your access to the Service will be revoked
- Your data will be retained for a short period (per our Privacy Policy) and then deleted
- Outstanding payment obligations remain due
13. Third-Party Services
The Service integrates with third-party platforms and services, including Meta (WhatsApp), messaging platforms, AI service providers, cloud storage providers, payment processors, authentication providers, and others. You acknowledge that:
- Third-party services are subject to their own terms of service and privacy policies
- We are not responsible for the availability, performance, or content of any third-party service
- Third parties may change, restrict, or discontinue their services at any time, which may affect your use of Wabot
- We are not affiliated with Meta or any other third-party service provider unless explicitly stated
Your use of third-party integrations constitutes your agreement to those third parties’ terms.
14. Intellectual Property
14.1 Our Intellectual Property
The Service, including its design, software, trademarks, logos, and all content created by us, is owned by Team Fames Sdn Bhd and protected by applicable intellectual property laws. You may not copy, modify, distribute, sell, or create derivative works from any part of the Service without our prior written consent.
14.2 Your Content
You retain ownership of any content you upload or create using the Service (messages, knowledge base documents, templates, etc.). By using the Service, you grant us a limited, non-exclusive license to store and process your content solely for the purpose of providing the Service to you.
14.3 Feedback
If you provide suggestions, feedback, or ideas regarding the Service, you grant us a royalty-free, perpetual, irrevocable license to use such feedback without any obligation to you.
15. Governing Law
These Terms shall be governed by and construed in accordance with the laws of Malaysia, without regard to its conflict of law provisions.
Any dispute arising from or relating to these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the courts located in Malaysia, and you hereby consent to such jurisdiction.
16. Dispute Resolution
16.1 Informal Resolution
Before initiating any formal dispute, you agree to first contact us at [email protected] and attempt to resolve the matter informally. We will make good-faith efforts to resolve disputes within 30 days of notification.
16.2 Class Action Waiver
To the extent permitted by applicable law, you agree to resolve disputes with us on an individual basis only. You waive any right to participate in a class action lawsuit or class-wide arbitration against us.
17. General Provisions
17.1 Entire Agreement
These Terms, together with our Privacy Policy and any other agreements incorporated by reference, constitute the entire agreement between you and us regarding the Service and supersede all prior agreements.
17.2 Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
17.3 Waiver
Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
17.4 Assignment
You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
17.5 Force Majeure
We shall not be liable for any failure or delay in performance due to causes beyond our reasonable control, including acts of God, war, terrorism, government actions, pandemics, internet or power outages, or third-party service failures.
18. Changes to These Terms
We reserve the right to modify these Terms at any time. When we make material changes, we will:
- Update the “Last Updated” date at the top of this page
- Notify registered users via email or in-app notification at least 14 days before the changes take effect
Your continued use of the Service after the effective date of the updated Terms constitutes your acceptance of the new Terms. If you do not agree to the revised Terms, you must stop using the Service and cancel your account before the changes take effect.
